Purchasing Policies

Electro-Miniatures Corp. supports taking responsible steps to ensure that the products received from our supply chain are responsibly sourced. It is important to ensure the companies in our supply chain conduct business with integrity, respect and to the highest ethical standards. EMC and our customers are committed to sourcing responsibly and consider mining activities that fuel armed conflict as unacceptable.

Counterfeit Parts
All materials, components and units purchased under this PO will be from Original Equipment / Components Manufacturers (OEM / OCM) or their authorized dealers. Independent distributors (Brokers) shall not be used without written consent from Electro Miniatures Purchasing (EMC). Goods supplied will only be new and authentic. It is the responsibility for the supplier to flow the policy to the sub-tier suppliers.

If suspect / counterfeit parts are furnished under this PO, they will be impounded by EMC. The Supplier shall promptly replace the suspect parts with new parts that are acceptable to EMC and the Supplier shall be liable for all costs associated with the removal and replacement of said parts.

Definitions:

Counterfeit Material – An item that is an unauthorized copy or substitute that has been identified, marked, or altered by a source other than the item’s legally authorized source and has been misrepresented to be an authorized source.

Suspect Counterfeit Part – A part in which there is an indication by visual inspection, testing, or other information, that it may have been misrepresented by the supplier or manufacturer and may meet the definition of counterfeit part provided below.

Counterfeit Part – A suspect part that is a copy or substitute without legal right or authority to do so or one whose material, performance, or characteristics are knowingly misrepresented by a supplier in the supply chain.

OEM – Original Equipment Supplier

OCM – Original Component Supplier

Authorized Distributor – A distributor with whom the OEM/OEM has a contract agreement to buy, stock, repackage, sell and distribute its product lines

Independent Distributor (Broker) – A distributor who is not authorized to sell the item to be purchased.

EMC may desire to place additional orders for Work purchased hereunder. SELLER shall provide EMC with a “Last Time Buy Notice” at least twelve (12) months prior to any action to discontinue any Work purchased under a Contract.

EMC strives to comply to Customer requirements along with regulatory and statutory requirements, thus collaborative approach working with Suppliers is essential to comply and proceed. Supplier quality is needed for EMC to deliver products that satisfy Customer’s needs. Requirements for Supplier Quality are presented below.

RECEIPT OF MATERIAL DOES NOT CONSTITUTE ACCEPTANCE UNLESS SAME CONFORMS TO THE TERMS AND CONDITIONS SPECIFIED HEREUNDER. WE FURTHER RESERVE THE RIGHT TO FILE CLAIM AT A LATER DATE FOR ANY SHORTAGE, DAMAGE OR LACK OF CONFORMITY WITH OUR SPECIFICATIONS AFTER INSPECTION.
